The SUBWAY® Big Ticket Scratch and Win Sweepstakes (“Promotion”)

OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER, PARTICIPATE OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. This Promotion is intended for viewing and participation in the Omaha - Council Bluffs Market 068-0 only and shall be construed and evaluated according to the laws of Nebraska and the united states of america. Please do not enter if you are not a legal resident of the United States, and not located in the Omaha - Council Bluffs area at time of entry. OPEN TO ELIGIBLE legal residents of the Omaha - Council Bluffs area who are at least thirteen (13) years of age as of date of entry unless otherwise noted in rule Seven (7) of these official rules. void where prohibited by law. By entering the Promotion, an entrant will be deemed to abide by and consent to these Official Rules. An entrant must continue to comply with all terms and conditions of these Official Rules throughout the Promotion Period.

1. Sponsor: The sole sponsor of the Promotion is: SFAFT Market #068-0, 488 Wheelers Farms Road, Milford, CT 06461 ("Sponsor").
   

2. CONTEST PERIOD: Starting July 5, 2010 at 12:00:01 A.M. Central Standard Time ("CST") and ending August 15, 2010 at 11:59:59 P.M. CST, or while supply of Official Scratch and Win Tickets (“Tickets”) last, whichever occurs first ("Ticket Distribution Period"). In-Restaurant Instant Win Tickets must be redeemed at a participating SUBWAY® restaurant for food or beverage prizes by the end of business on October 31, 2010. Other non food/beverage prizes must be claimed online or by mail by 11:59:59 P.M. CST on September 30, 2010 (“Redemption Period”) and redeemed at the respective prize venues by end of business on December 31, 2010. No In-Restaurant Instant Win Tickets may be claimed after the Redemption Period has ended.
   

3. Eligibility: The Promotion is open only to legal residents of the United States who reside in the Omaha – Council Bluffs area including the counties of, Douglas (NE), Dodge (NE), Pottawattamie (IA), Saunders (NE), Cass (NE), Nemaha (NE), Sarpy (NE), Washington (NE), Page (IA), Platte (NE), Richardson (NE), Mills (IA), Shelby (IA), Ida (IA), Harrison (IA), Otoe (NE), Fremont(IA), Montgomery (IA), Atchison (MO), Colfax (NE), Johnson (NE), Burt (NE), and Cuming (NE), who are at least thirteen (13) years of age as of the date of entry unless otherwise noted in rule seven (7) of these official rules. Persons in any of the following categories are NOT eligible to participate or win prizes: (a) any person who, at any time on or after January 1, 2010, was or is a director, officer, or employee of the Subway Franchisee Advertising Fund Trust Ltd. (SFAFT), Doctor’s Associates Inc., SUBWAY® restaurants, Media Impressions Inc., Burk Smith Marketing, Consolidated Graphics, Inc., Ford Motor Company, Frito-Lay, Inc., The Coca-Cola Company, or their parents, subsidiaries, franchisees, or service agencies; (b) individuals engaged in the development, production or distribution of materials for the Promotion or engaged in the administration or execution of this Promotion ((a) and (b) collectively the “Promotion Entities”), and (c) persons who are or purport to be immediate family members (defined as biological or step-mother, father, sister, brother, daughter, son or dependent of spouse of any of the foregoing) of any person in any of the preceding categories, regardless of where they live or who reside in the same household (i.e. live in the same household for at least three (3) of the twelve (12) months preceding the start of the Ticket Distribution Period, whether related or not) as any person in any of the preceding categories. The transfer of Promotion materials by an ineligible person to an eligible person is strictly prohibited.
   

4. ENTRY: NO PURCHASE NECESSARY TO PARTICIPATE (to participate without purchase see Rule #4.1.b. below). A total of 500,000 Tickets will be available for distribution. TICKET DISTRIBUTION BEGINS ON July 5, 2010 AND ENDS ON August 15, 2010 (OR SOONER IF SUPPLIES OF TICKETS ARE DEPLETED). Each Ticket consists of two (2) parts: (a) an “Instant Win Grand Prize Area” with a chance to win one (1) of three (3) Ford vehicles and (b) an “In-Restaurant Instant Win Game Area” with a chance to win one (1) of 104,703 other great prizes. Players who do not win a prize will receive a special discount to a local Omaha – Council Bluffs area business including, the Omaha Lancers, Omaha Royals, Complete Nutrition, SkateDaze, Family Fun Center, Omaha Beef, and Joe’s Karting. Ticket, any portion of a Ticket, or any Unique Game Code may not be transferred, duplicated or shared. Tickets are null and void and will be rejected if not obtained in accordance with these Official Rules through legitimate channels, including any Tickets or Unique Game Codes purchased or obtained online; or if any part of the Ticket is determined by the judging organization to be illegible, reproduced, counterfeited, mutilated, transferred, sold, exchanged, stolen or tampered with in any way; or if any Ticket and/or promotion-related materials contain printing, production, typographical, mechanical, or other errors. Tickets containing printing or other errors may be replaced with another Ticket at the sole discretion of the Sponsor, while supplies last.

4.1. HOW TO OBTAIN AN OFFICIAL TICKET: There are two ways to obtain a Ticket:

4.1.a. During the Ticket Distribution Period, at Participating SUBWAY® Restaurants: Get a Ticket with any purchase at any participating SUBWAY® restaurant in the Omaha – Council Bluffs Market 068-0 while supplies last. As the promotion progresses, some participating SUBWAY® restaurants in the Omaha – Council Bluffs Market 068-0 may deplete their supply of Tickets before others.

4.1.b. Without Purchase: For a free Ticket, while supplies last, send name, address, city, state, zip code, and self-addressed stamped envelope to: “SUBWAY® Omaha Prize Redemption”, P.O. Box 15162, St. Louis, MO 63110. Requests must be postmarked by August 9, 2010 and received by August 14, 2010. DO NOT SEND COMMENTS OR QUESTIONS TO THIS ADDRESS. Limit one (1) request per postmarked outer envelope. One (1) Ticket will be sent in response to each request. No mass or mechanically reproduced requests will be accepted. All requests become the sole property of the Sponsor.

5. PARTICIPATION: Upon receiving a Ticket, carefully scratch-off no more than three (3) of the nine (9) circles for the chance to win one (1) of three (3) 2010 Ford vehicles by revealing the letters “C” “A” “R” using no more than three (3) scratch-off circles. If the letters “C” “A” “R” are revealed in the three (3) circles scratched, the player is a potential Instant Win Game Grand Prize Winner (“Grand Prize Winner”) and upon verification will win one (1) of a 2010 Ford F-150, a 2010 Ford Mustang, OR a 2010 Ford Fusion (the “Grand Prize”). Tickets that reveal the letters “C” “A” “R” but have more than three (3) circles scratched will be disqualified. If the letters “C” “A” “R” are not revealed in the three (3) circles scratched, the player has the opportunity to be an In-Restaurant Instant Win Game Winner (“Winner”) of one (1) of 104,703 other In-Restaurant Instant Win prizes (“Prizes”) by scratching the secondary area at the bottom of the Ticket which may reveal a Prize. Food and beverage prizes may be redeemed at participating SUBWAY® restaurants in the Omaha – Council Bluffs Market 068-0 on a future order for the Prize named, subject to verification and participant’s compliance with these Official Rules. Non-food and non-beverage In-Restaurant Instant Win Game Prizes cannot be redeemed in SUBWAY® restaurants in the Omaha – Council Bluffs Market 068-0, so hold on to your winning Ticket (do not give to a SUBWAY® Associate) and See Rule #8 and #9 for details on how to claim your prize. Players who do not win an In-Restaurant Instant Win Game Prize/Grand Prize will receive a discount offer to an Omaha – Council Bluffs business (see Rule #4). The scratch off area will reveal the In-Restaurant Instant Win Game Prize and instructions for redemption of the Prize won: either in-store, online, or by mail depending on the Prize (see Rule #8 and #9). An entrant is not an In-Restaurant Instant Win Game Winner/Grand Prize Winner of any Prize/Grand Prize, even if the Ticket should so indicate, unless and until the potential Winner/Grand Prize Winner has been verified and s/he has been notified that verification is complete. If the Winner/Grand Prize Winner is not of the age of majority in his/her state of residence (“Minor Winner”), the Prize/Grand Prize will be awarded in the name of his/her parent/legal guardian (See Rule #3 and #7 for details). The potential Winner/Grand Prize Winner, or the parent/legal guardian of a Minor Winner of the aforementioned Prizes/Grand Prizes may be required to sign and return a notarized Affidavit of Eligibility/Compliance (including, without limitation, providing his/her respective Social Security Number for tax purposes) and a Liability/Publicity Release, as allowed by state law, by the return date specified in the Prize/Grand Prize notification letter or the Prize/Grand Prize may be forfeited, and time allowing, awarded to an alternate potential Winner/Grand Prize Winner. Sponsor’s decisions shall be final in all matters pertaining to the Promotion. Sponsor will not accept other evidence of winning in lieu of Sponsor's verification process. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an alternate potential Winner/Grand Prize Winner may result from any of the following: (a) potential Winner/Grand Prize Winner failure to respond to notification within the time specified by Sponsor after its transmission; (b) potential Winner/Grand Prize Winner failure to provide Sponsor with satisfactory proof of age, identity and residency; (c) potential Winner/Grand Prize Winner failure to execute and return (where applicable) an Affidavit of Eligibility/Compliance (including, without limitation, providing his/her respective Social Security Number for tax purposes) and a Liability/Publicity Release, as required by law, by the return date specified by Sponsor, regardless of the cause of such failure; (d) potential Winner/Grand Prize Winner failure to be available to utilize the Prize/Grand Prize on the dates set forth herein regardless of the cause of such failure; or (e) any other non-compliance with the Official Rules. Winners/Grand Prize Winners may be issued a Form 1099 in the amount of the actual retail value of the Prize/Grand Prize, as required by law. Winners/Grand Prize Winner are responsible for all taxes applicable to the prizes.
   

6. OBTAINING & USING CODES: Some Tickets may contain a sixteen (16) digit Unique Game Code (“Unique Game Code”) that can be used to redeem the indicated In-Restaurant Instant Win Game Prize/Grand Prize on each Ticket via mail or online redemption (outlined in Rule #8). No Unique Game Code may be used more than once during the Promotion. Once a Unique Game Code is used to redeem its indicated In-Restaurant Instant Win Game Prize/Grand Prize, the Unique Game Code will be deactivated for the remainder of the Promotion.

7.a.iii. Funny Bone Comedy Club $40 Gift Card (50): Fifty (50) In-Restaurant Instant Win Prizes will be available and each offers winner one (1) $40 Funny Bone Comedy Club Funny Money Gift Card (ARV: $40 each). Odds of winning prize: 1:10,000.

7.a.iv. Family Fun Center Lazer Tag (2,000): Two thousand (2,000) In-Restaurant Instant Win Prizes will be available and each offers winner two (2) Family Fun Center Secret Agent Lazer Tag tickets (ARV: $12 each). Odds of winning prize: 1:250.

7.a.v. Family Fun Center Glow Golf (2,000): Two thousand (2,000) In-Restaurant Instant Win Prizes will be available and each offers winner two (2) Family Fun Center Glow Golf Time Warp tickets (ARV: $11 each). Odds of winning prize: 1:250.

7.a.vi. Family Fun Center Paint Ball (2,000): Two thousand (2,000) In-Restaurant Instant Win Prizes will be available and each offers winner two (2) Family Fun Center Indoor Paintless Paintball tickets (ARV: $17 each). Odds of winning prize: 1:250.

7.a.vii. SkateDaze Admission (4,300): Four thousand three hundred (4,300) In-Restaurant Instant Win Prizes will be available and each offers winner one (1) single admission to choice of Roller Skating, PlayDaze or Lazer Tag at SkateDaze (ARV: $7 each). Not Valid after 7:00 p.m. on Fridays. Not valid during private or fundraising functions or with any other offer. Admission to PlayDaze for age 12 and under only. Odds of winning prize: 1:116.

7.b. Grand Prize choice of one (1) of the following three (3) Ford vehicles (Vehicle): 2010 Ford F-150, 2010 Ford Mustang, or 2010 Ford Fusion (3): Three (3) Instant Win Grand Prizes will be available and each offers winner a choice of one (1) of the following three (3) Ford vehicles: 2010 Ford F-150 (ARV: $30,323 USD), 2010 Ford Mustang (ARV: $28,567 USD), OR 2010 Ford Fusion (ARV: $24,077 USD) by revealing the letters “C” “A” “R” on the Ticket in the Instant Win Grand Prize Area using no more than three (3) scratch-off circles. Vehicle will be delivered with standard equipment; any upgrades and options are at the sole expense of each winner. Color, package, factory options, and other prize specifics to be determined by Sponsor and are subject to availability. If a suitably equipped model of the Grand Prize is not available at the time of Promoter’s requested delivery date pursuant to the terms hereunder, a 2010 or subsequent model year Ford vehicle of equal or greater value will be substituted as determined by comparing the manufacturer’s suggested retail prices of the vehicles. Winners (or such winners’ parents or legal guardian, if winner is an eligible participant but a minor in his/her state of residence) must have proof of a valid U.S. driver’s license from their state or place of residence in the United States as well as evidence of legally required insurance to take delivery of vehicle; failure to provide may result in prize forfeiture. Winners will be responsible for all optional equipment, title, license, insurance and registration fees required in claiming their vehicle, applicable taxes as well as all other expenses relating to the receipt and use of vehicle, including any travel and transportation costs associated in collecting the vehicle. Within one hundred twenty (120) days of winner verification, winners will be provided instructions to obtain their vehicle at a Ford Dealership located in the United States. The exact dealership will be determined by the Sponsor. Winners must take delivery of vehicle within thirty (30) days of notification that dealership has received vehicle. As a model year progresses, changes may occur in some of the specifications, features, optional equipment, and pricing. The manufacture reserves the right to make such changes. Optional equipment may vary by area. Delivery of vehicles subject to manufacture, distributor and dealer manufacturing, production, and delivery schedules. All other cost not specifically stated herein as being awarded are the responsibility of each winner. Grand Prize Winner must be 18 years of age or older to win. See Rule #5 as it pertains to Minor Winners. Odds of winning a Grand Prize: 1:14,000,000.

7.1 ADDITIONAL INFORMATION REGARDING PRIZES/Grand Prizes: Total approximate retail value of all Prizes/Grand Prizes available to be won: USD $593,266. Prizes/Grand Prizes pictured in point-of-sale, online, television, and print advertising, and other promotion materials are for illustrative purposes only. All details and restrictions on Prizes/Grand Prizes and their use not set forth in these Official Rules will be determined by Sponsor in its sole discretion and will be provided to the applicable Winner/Grand Prize Winner upon verification and award of Prize/Grand Prize. Prizes/Grand Prizes will be awarded only if a participant meets eligibility requirements and fully complies with these Official Rules. Physical original Ticket with Unique Game Code must be surrendered upon Sponsor’s request in order to claim a Prize/Grand Prize. Prizes/Grand Prizes are not transferable or redeemable for cash and must be accepted as awarded, with no substitutions of any kind, expect by the Sponsor, who reserves the right to substitute a Prize/Grand Prize (or portion thereof) of comparable or greater value, at its sole discretion. Taxes, if any, as well as any other cost and expenses associated with Prize/Grand Prize acceptance and use not specified herein as being provided, are the winners’ responsibility. All Prizes/Grand Prizes details are at the Sponsor’s sole discretion. Any difference between Approximate Retail Value and actual value of Prize/Grand Prize will not be awarded to Winner/Grand Prize Winner.

8. CLAIMING YOUR PRIZE:

8.1 In-Restaurant Instant Win Game Prizes: In-Store Redemption: No purchase is necessary to claim an In-Restaurant Instant Win Game prize for food or beverages. To claim an In-Restaurant Instant Win Game food/beverage prize, surrender original In-Restaurant Instant Win Ticket with winning message before placing an order for the food/beverage prize named at a participating SUBWAY® restaurant in the Omaha – Council Bluffs Market 068-0 no later than close of business on October 31, 2010. In-Restaurant Instant Win Official Scratch and Win Tickets with food/beverage prize winning messages may not be redeemed on the order for which the participating product with the In-Restaurant Instant Win Ticket being redeemed was purchased, but may be redeemed on a future order. In-Restaurant Instant Win portion of the Ticket with the food/beverage prize winning messages must be surrendered prior to placing an order for food prize named. Food/beverage prize winning Tickets have no cash value and may not be applied toward previously placed orders or prior purchases. Tickets must be redeemed during normal business hours of operation that the named menu item is served. In-Restaurant Instant Win Tickets may not be used in combination with any other offer, promotion, or discount. Limit: one (1) In-Restaurant Instant Win Ticket food or beverage prize redemption per eligible person per visit. For purposes of this Promotion, a “visit” shall be defined as any visit to the same SUBWAY® restaurant during the same two (2) hour period. To claim an In-Restaurant Instant Win Game prize for nonfood/beverage prizes, follow directions specified on your winning ticket and surrender original In-Restaurant Instant Win Ticket to prize provider no later than close of business on December 31, 2010. Redemption subject to verification and participant’s compliance with these Official Rules.

8.2 CLAIMING YOUR PRIZE ONLINE: To claim an In-Restaurant Instant Win Game prize for Creighton Athletics free Group Night, $100 of Complete Nutrition Products, $10 of Max I. Walker dry-cleaning, or $100 Nebraska Furniture Mart Gift Card, enter your Unique Game Code at www.subwayomaha.com no later than 11:59:59 CST on September 30, 2010, (“Redemption Period”). After the winner eligibility verification process is conducted, all prizes will be mailed or emailed to the winner’s residential address or email address as provided in the registration form. The winner will have the choice of having prize certificate (“Certificate”) mailed via USPS Ground or emailed to Winner. To receive an In-Restaurant Instant Win Game prize, Winners must surrender original In-Restaurant Instant Win Ticket with winning message at the prize venue (i.e. Family Fun Center) during normal business hours of operation at the prize venue no later than close of business on December 31, 2010 (Food/drink prizes must be claimed by October 31, 2010, see Rule 8.1).

8.3 CLAIMING YOUR PRIZE BY MAIL: Creighton Athletics free Group Night, $100 of Complete Nutrition Products, $10 of Max I. Walker dry-cleaning, or $100 Nebraska Furniture Mart Gift Card prizes can be claimed by mail by completing all required information on the backside of the In-Restaurant Instant Win Ticket and mailing the winning In-Restaurant Instant Win Official Ticket in a self-addressed stamped envelope to: SUBWAY® Omaha Prize Redemption, P.O. Box 15162, St. Louis, MO 63110 by September 23, 2010. After the winner eligibility verification process is conducted, all prizes will be mailed to the winner’s residential address as provided on backside of In-Restaurant Instant Win Ticket via USPS Ground. To receive an In-Restaurant Instant Win Game prize, Winners must surrender original In-Restaurant Instant Win Official Scratch and Win Ticket with winning message at the prize venue (i.e. Family Fun Center) during normal business hours of operation at the prize venue no later than close of business on December 31, 2010 (Food/drink prizes must be claimed by October 31, 2010, see Rule 8.1).

9. CLAIMING THE GRAND PRIZE: All potential winners of the Grand Prize will be required to mail in (registered/certified mail recommended for Grand Prize) the Instant Win Ticket that reveals the letters “C” “A” “R” in no more than three (3) scratched off circles. Tickets that reveal the letters “C” “A” “R” but have more than three (3) circles scratched will be disqualified and void. Potential Grand Prize Winners will be contacted by mail, email, or phone with instructions on how to claim their Grand Prize. Deadline for claiming the Grand Prize is by 11:59:59 CST on September 30, 2010.
   

10. Conditions:

10.1 COMPLIANCE WITH RULES: By participating, participants: (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor and/or Promotion judges, made in their sole discretion, which shall be final and binding in all matters relating to this Promotion. Participants who have not complied with these Official Rules are subject to disqualification at the sole discretion of the Sponsor.

10.2 Promotion Entities are not responsible for late, lost, stolen, misdirected, garbled, illegible, incomplete, or postage-due mail or requests. The Sponsor reserves the right to disqualify any participant’s registration in the Promotion (and void all associated entries) or entitlement of prize, if, in the sole discretion of the Sponsor, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices (including any entries generated by script, macro, robotic, programmed, or any other automated means).

10.3 CONDITIONS: Allow two (2) to three (3) weeks for verification and shipment of your Prize. Promotion Entities shall not be held responsible for any delays in awarding Prizes/Grand Prizes for any reason outside of their control. Prizes/Grand Prizes will only be delivered to verified Winners/Grand Prize Winners. Prizes will be delivered only to street addresses in the Omaha – Council Bluffs area. Prizes will not be delivered to P.O. boxes. If a potential Winner/Grand Prize Winner is found to be ineligible, declines to accept their Prize/Grand Prize or Sponsor is unable to contact a potential Winner/Grand Prize Winner within a reasonable period, or in the event that a Prize/Grand Prize confirmation or Prize is returned undeliverable, the Prize/Grand Prize will be forfeited. All details and restrictions on Prizes/Grand Prizes not set forth in these Official Rules will be determined by Sponsor in its sole discretion and will be provided to the applicable Winner/Grand Prize Winner upon verification. Prizes/Grand Prizes will be awarded only if a participant meets all eligibility requirements and fully complies with these Official Rules.

10.4 DISPUTES: If a dispute arises regarding who submitted an online entry, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of entry. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. In no event will the Sponsor be liable for more than the stated number of Prizes/Grand Prizes available in the Prize/Grand Prize category in question.

11. INTERNET/LIMITATIONS OF LIABILITY: Promotion Entities are not responsible for interrupted or unavailable network server or other connections; for miscommunications; failed telephone or computer transmissions; for jumbled, scrambled or misdirected entries or transmissions; for phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties; for other errors, omissions, interruptions, or deletions of any kind, whether human, mechanical or electronic; or for any damage to any person's computer related to participating in the Promotion. Promotion Entities are not responsible for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion; or for any technical or human errors which may occur in the processing of any entries in the Promotion. Any person attempting to enter using multiple email addresses, multiple identities or any other device or artifice to enter multiple times or to interfere with the proper play of the Promotion will be disqualified from participation in the Promotion. If in the judgment of Sponsor, the Promotion is compromised by viruses, bugs, non-authorized human intervention or other causes beyond the control of Sponsor, which corrupt the administration, security, fairness or proper play of the Promotion, Sponsor reserves the right, in its sole discretion, to discontinue, suspend, modify or terminate the Promotion and proceed to select potential Winners/Grand Prize Winners in a manner it deems fair and reasonable including, without limitation, the selection of potential Winners/Grand Prize Winners in a random drawing from among entries received prior to any such discontinuation, suspension or termination. No more than the stated number of Prizes/Grand Prizes will be awarded. In the event that production, technical, programming or any other reasons cause more than the stated number of Prizes/Grand Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to conduct a random drawing to award the stated number of Prizes/Grand Prizes from among all eligible claimants.

ALL PRIZES ARE PROVIDED “AS IS”. PROMOTION ENTITIES MAKE NO WARRANTIES OF ANY KIND REGARDING ANY PRIZE/GRAND PRIZE, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. ANY AND ALL WARRANTIES AND/OR GUARANTEES ON A PRIZE (IF ANY) ARE SUBJECT TO THE RESPECTIVE MANUFACTURERS’ TERMS THEREFOR, AND WINNERS AGREE TO LOOK SOLELY TO SUCH MANUFACTURERS FOR ANY SUCH WARRANTY AND/OR GUARANTEE.

12. PUBLICITY RIGHTS: By accepting a Prize/Grand Prize, each Winner/Grand Prize Winner agree to allow Sponsor and/or Sponsor's designees the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, world wide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.
    

13. DISPUTES/GOVERNING LAW: The Promotion is subject to all applicable federal, state and local laws. Except where prohibited, by participating in the Promotion, participants agree that: (a) except as otherwise specifically set forth in these Official Rules, any action arising out of or relating to these Official Rules or the rights and obligations of any participant and/or Sponsor shall be filed exclusively in the appropriate Nebraska State Court located in Douglas County, Nebraska or in the appropriate Iowa State Court located in Pottawattamie County, Iowa; and participants hereby consent and submit to the personal jurisdiction of such court for the purposes of litigating any such action, and any right to a trial by jury is hereby waived; (b) any and all disputes, claims, and causes of action arising out of or connected with these Official Rules, and/or the rights and obligations of any participant and/or Sponsor shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and in no event will participants be entitled to receive attorneys' fees or other legal costs; (d) under no circumstances will participants be permitted to obtain injunctive or other equitable relief and a participant's sole remedy will be an action at law for damages. Under no circumstances will participants be permitted, and participants hereby waive all rights, to: (i) claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of pocket costs; and (ii) have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and/or Sponsor shall be governed by and construed in accordance with the laws of the State of Nebraska without giving effect or regard to any principles or doctrines of conflicts of law of the State of Nebraska or any other jurisdiction. If any provision or provisions of these Official Rules shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
    

14. RELEASE: By participating, each participant (or their parent or legal guardian if an eligible minor) releases and agrees: (a) to indemnify and hold harmless Promotion Entities and each of their officers, directors, employees and agents from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, or arising out of participation in any Promotion-related activity.
    

15. GENERAL: Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF the PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. ENTRANTS ENGAGING IN ANY OF THE FOREGOING ACTIVITIES MAY BE DISQUALIFIED AND FORFEIT ANY PRIZES/GRAND PRIZES WON. Void outside of the Omaha – Council Bluffs area and wherever prohibited or restricted by law. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, employees of Promotion Entities are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.
    

16. winnerS list: To obtain the names of the Winners/Grand Prize Winners, send a properly stamped self-addressed envelope, by September 30, 2010 to SUBWAY® Market 068-0, c/o Media Impressions Inc., 2001 E. Campbell Ave., Ste 105, Phoenix, AZ 85016. Winner/Grand Prize Winner names will be sent after Prizes/Grand Prizes have been awarded to verified Winners/Grand Prize Winners.
